Summary:

WHEREAS, Whetstone Education Inc. was originally awarded contract 9132 for Performance and Learning Management Data System at the February 25, 2020 Board Meeting for a two (2) year period with the option to renew for (1) additional two (2) year period; and
WHEREAS, during the March 26, 2020 Board Meeting the contract was amended to the correct term of three (3) years from date of award with an option to renew for one (1) additional two (2) year period commencing February 25, 2020; and
WHEREAS, during the term of this contract Whetstone Education Inc. assigned their assets to SchoolMint Inc. so that Whetstone Education Inc. rights, duties, obligations, title, and interests related to contract 9132 were likewise assigned to SchoolMint Inc.; and
WHEREAS, there are no other changes to the terms and conditions of contract 9132; and
WHEREAS, under the terms of this contract, any assignment of a contract must be approved by the Newark Board of Education; and
WHEREAS, the recommendation to consent to the assignment and assumption of contract 9132 has been reviewed and approved by Herbert Daughtry, Director for Educator Effectiveness.

NOW THEREFORE BE IT RESOLVED, that the Newark Board of Education hereby accepts, approves and consents to the assignment and assumption of contract 9132 from Whetstone Education Inc. to SchoolMint Inc. with no other changes in the terms and conditions of contract 9132 for Performance and Learning Management Data System.
EXPLANATION: Consent required to maintain the current contract.
